Conditions and Agreement for using JobThai service of Recruiter, Service Users and/or Members.

Welcome to JobThai website ("www.jobthai.com"). The JobThai has offered you the various kinds of services under the specific service conditions. The JobThai hereby reserves the right to change, amend, improve the conditions, requirements, contents in the website without further notice and/or your consent, deeming that you have agreed and accepted the following conditions where applying for the use of JobThai services, either through the access or by the order, application and/or your readiness to sign your name in the "Service Contract". The detail of which are shown as follows:

1. Definition

Under this service conditions and agreements, any "words" appeared in this condition and agreements shall have the following meanings, unless otherwise specified.

"Advertisement" shall mean the announcement to find persons to be employed to work in any job, including the any forms of advertisement as shown in www.jobthai.com.

"Applicant" shall mean the one who applies for vacant positions as advertised in the website of JobThai.

"Service user" shall mean the one who comes to apply for JobThai services.

"Entrepreneur" shall mean the juristic person legally registered as required by law, to include limited partnerships, limited companies, public companies and/or other legal juristic persons.

"Member" shall mean the one who applies for membership with JobThai and have been given with the login and password.

"Login" shall mean the name designated by service user and has been approved by JobThai for use as the access to enter into the service.

"Password" shall mean the code designated by the service user and has been approved by JobThai for use as the access to enter into the services.

"Company Code" shall mean the code designated by JobThai and given to the entrepreneurs for entering into the use of services.

"JobThai" shall mean THiNKNET Co., Ltd., a juristic person No. 0125543004205, located at the address No. 323 United Center Building, 6th Floor, Room 601, Silom Road, Silom, Bangrak, Bangkok 10500

"Service" shall mean the services offered on JobThai website by JobThai with and without expenses as shown in this contract, including the presentation of information and news relating to the benefits of the service users, members, entrepreneurs, interested job seekers and general public.

"CV" or "Resume" shall mean the personal records of interested job applicants as well as educational history, working experiences prepared by applicants themselves that can be given to JobThai with the owners’ consent.

2. Login, password and Company Code

2.1 The service user agrees that it shall maintain the login, password in confidential and shall not disclose to any persons in case the damage is occurred to any service user due to the loss of login or password or the same is known by other persons and JobThai shall not be responsible for any damage at all.

2.2 The service user acknowledges that any transaction performed under the service user’s login or password including the methods or conditions of the service provision for that particular service as designated by JobThai shall be deemed as the service user’s own action and shall be bound by the service user and the service user needs not to sign in any document.

3. Scopes of service providing

Service applicant can come to use the services for any transactions through the internet network all for 24 hour without holidays, except in case of the damage occurred to the computer systems, relating network communicating equipment or they are in the course of improvement or repair or force majeure.

4. Service characteristics

JobThai is the website providing services relating to jobs for the job applicants and entrepreneurs to come to use the services, including the information, news beneficial to the service users. The transmission of information, articles, photos, contents, prices being offered to the public or in private form shall be considered as the responsibility of the service users who present their information and advertisement on the website since JobThai has not been involved in the control measures or amendment or change of such information. JobThai shall therefore not guarantee for the completeness, accuracy or quality of the said contents. JobThai, however, shall use the best of its effort to monitor, supervise all the information, advertisements and announcements to be in the correct and complete forms as if may deem fit.

In access of this website for searching for information or using the services the free and paid services are offered to the public and it shall be considered as the service users’ voluntary action to comply with the specified conditions and agree not to use the services in any of the following manners.

4.1 Make the announcement or send any statements or contents that are considered illegal or against the good morality, defamatory libel, rudeness, racism against religions and/or infringement of personal right of others.

4.2 To falsify, imitate or act anything in showing the third persons that the service user is an official, employee, agent, an authorized person of Company to seek unlawful benefit and interest and to make the public to understand that the service user is doing such things on company behalf.

4.3 To falsify, imitate, shorten, revise, change or act anything to make any statements in the website to be varied from the original statements.

4.4 To advertise or send statements that infringe the copyright, patent, trademark, service mark, trade secret and any other intellectual properties that may be seen and/or foreseen as the infringement of other persons’ rights.

4.5 To advertise or send statements with computer virus, sets of order or computer codes, files or other programs designed to destroy the working of computer hardware or software, interrupt or limited the computer’s working functions.

4.6 To advertise or send any statements in the way of inviting, encourage the unauthorized "Junk Mail", "Spam", chain letters, pyramid scheme or other forms of invitation.

4.7 To advertise or send any statements in the way of supporting or having the statements in support of committing the illegal offence such as bodily injury or cause a person or group of persons to be seriously injured or give the support to the animal torture and to include but unlimited to the assembly of explosives or military weapons.

5. Acceptance of conditions and agreements

5.1 The service user and/or member represents that information and details given to JobThai are all true and correct. JobThai shall have the right to terminate your service without advance notice and you don’t have any right to demand for any damages compensation.

5.2 The service user and/or member agrees to accept the service and shall act in compliance with conditions and agreements of services as required and such conditions and agreements of services as shown in this service application as well as conditions and agreements and service methods to be prescribed in the future by JobThai shall be bound to the service user and/or member.

5.3 JobThai reserves the right to change the conditions, agreements as well as service fee, advertising fee and other fees for the services by advertising or notifying the service user and/or member for acknowledgement for the period of not less than 15 days in advance. When the service user and/or member has come to use the services after the date of change has been in effect, the service user and/or member shall be considered to have accepted such conditions and agreements.

5.4 The service user and/or member agrees that JobThai is able to advertise or notify the service providers of the change of conditions and agreements as well as the service fees, advertising fees and other fees through the internet networks.

5.5 The service users and/or member acknowledges that the service of this website is a channel to provide the convenience to the service user and/or member. So, the service user and/or member acknowledges that JobThai may use the information of the service user and/or member given to JobThai through the website in identify the identify and correctness of the service user and/or member as if way deem reasonable for providing the services to the service user and/or member, for examples, making the announcement for the rent, service suspension, etc.

5.6 The service user and/or member acknowledges that the service of this website is a channel to provide convenience to the service user and/or member, so, the service user and/or member agrees to accept any damage occurred as the result of the mistakes, errors of the internet, computer communication or electronic systems, equipment or the actions of the service user and/or member or the actions of other persons, no matter due to the act of wrongdoing or not.

5.7 The service user and/or member acknowledges that any evidences or documents made by the website due to the service using of the service user and/or member are all correct and proper and no need for the service user and/or member to sign or inspect them at all.

5.8 The service user and/or member acknowledges that any use of any services, some reasonable time must be given to the website for the necessary service process and the service user and/or member shall not demand the website to be responsible for any damage occurred as the result of the delay in providing the service according to the service process.

5.9 The service user and/or member acknowledge that you are a person with legal right to do the juristic acts as required by law. In case you are under 18 years old you must confirm that your representative’s legal consent has been given to you.

5.10 The service user and/or member acknowledges and agrees that JobThai has the right to cancel, amend, change the information, codes or any services given to you, either temporarily or permanently, without advanced notice.

5.11 The service user and/or member must collect and maintain information of interested job applicants, including qualifications, experiences and other information necessary for the job application that did not provided by JobThai yourself.

5.12 Any transactions according to this conditions and agreements shall be governed under the Thai law.

6. Responsibilities of service user and/or member

In case of the change of address, information or statements in the advertisement that would have the effect against the service providing, it is the duty of the service user and/or member to notify JobThai for acknowledgement. The service user and/or member acknowledges and agrees that you shall pay the damages compensation and shall defend the website, associate companies, officials, agents and participants, trade partner companies and employees from any responsibility against any demands, including lawyer fee from the third person due to your advertisement for rent or any statements or the use of service, condition infringement or violation of other persons’ right.

7. Responsibility limitation

JobThai shall not be responsible for any damage as well as the direct damage, indirect damage, special damage, contingent loss or relevant loss, loss or any expenses occurred as the result of JobThai’s inability to perform, false order, abstention to perform, interference, negligence due to the following reasons:

7.1 Electronic service difficult at the start of transaction

7.2 Force majeure, including failure to work of the communication system and equipment or unworkable connecting signal or due to the computer virus.

7.3 The service user and/or member fails to act in compliance with the conditions and agreements on the website.

7.4 The delay or defect of the equipment due to the computer of the service user and/or member.

7.5 The delay or defect of JobThai’s computer systems.

7.6 The delay or defect of the internet systems of the service provider or other companies other than the services given or contracted by JobThai or the inability to enter in the internet service.

7.7 Loss of profit, goodwill, utilization, information or non-objective loss for the use of service, including any information or news on the website.

JobThai shall not be responsible and guarantee the correctness of information, qualifications, experiences and other information of the interested job applicants, either obtained from JobThai or from the interested job applicants themselves.

JobThai shall not guarantee that JobThai website shall be operated without the use of "cookies" with computer virus or without any errors.

JobThai shall not responsible for any damage occurred as she result of the computer virus or other causes to the service users, members, interested job applicants and the third persons caused by JobThai website access.

JobThai shall not be responsible for any mistake, defect and/or other causes occurred as the result of the posting, announcement, advertisement or presentation by other means on JobThai website, including the loss, damage or the destruction of information that is considered as being done by the service user or member itself.

8. Membership and acceptance of information

Membership application on the website, the service user and/or member agrees that

8.1 It shall provide the current, correct and complete information about the service user and/or member itself according to the details given in the application form.

8.2 It shall improve and amend the information to be conformed to the fact and privileges obtained from the membership shall be remained in existence forever as long as the service user and/or member has remained to be member of the website and shall be terminated when the membership status is exhausted or changed and no need for the service user and/or member to be notified for acknowledgement in advance.

8.3 JobThai shall be obliged to the service according to this contract only when the information, logo, artwork and any descriptions have been given to JobThai by the service user and/or member as necessary for the announcement or advertisement purpose according to this contract.

8.4 Member may cancel or remove the announcement or advertisement from the website page before due according to this contract and JobThai shall not reimburse the money for any times or rights did not utilized by the member.

8.5 In case the service was not used by the member during the period as enquired in this contact and the service has still been provided the member shall have the burden to pay the service fee in full and JobThai shall not be responsible for any damage occurred due to the failure to use such service.

8.6 JobThai may, under its own discretion, report to or notify the working nails concerning to the service according to this contract who foreseen or may foresee that this service is not proper or having objectives against the law or good morality or any other laws without notifying the service user and/or member in advance.

8.7 JobThai shall provide the interested job applicant’s CV or Resume to the member only those received by JobThai with express consent from the interested job applicant to be forwarded to the entrepreneur or member, in order to meet the objectives and policy on the interested job applicant’s personal information protection.

9. Membership right deprivation

The service user and/or member acknowledges and agrees that JobThai has the right to terminate the password of member for the service using and to erase all information being posted in the advertisement on the website, whatever the reason, including but not limited to the failure to use the service, causing to believe that you have violated the conditions of service providing and JobThai shall erase to provide all or part of the service, whether or not the notice is given, including the erasion of relating information and files during the time you were the member or obstruct your access to the files or such service and you agree that JobThai shall not be responsible for you or the third person for the cancellation of your service connection.

10. Information to be used through the service on the website

10.1 Any document or letter sent to the service user and/or member by JobThai at the address and/or office as notified in the membership or service application shall be considered as having been received and acknowledged the contents in the documents or letter by the service user and/or member.

10.2 The service user and/or member acknowledges that any contacts, letters and announcements being rent from JobThai to the service user and/or member by mail or e-mail address as given by the service user and/or member shall be considered as having been notified to the service user and/or member for acknowledgement with proper method.

11. Disclosure of information

The service user and/or member agrees to allow JobThai to disclose the information of the service user and/or member as specified in the service application or the information relating to the service using with the website in the following cases:

11.1 Job applicant’s resume shall be disclosed to the entrepreneur or employer as member who advertised the job employment in the case that the job applicant’s right is exercised by the entrepreneur or employer during the membership period.

11.2 The service user’s and/or member’s information shall be disclosed specifically in part that the service user and/or member wishes to be disclosed to the general public.

11.3 The job application announcement information of the entrepreneur or employer shall be disclosed to the job applicant through the website page during the membership period.

11.4 Such information disclosure is done as permitted by law or as required by law, for example, JobThai may have to disclose the information of the service user and/or member as ordered by court or according to the court precept or it may receive the request to disclose the information of the service user and/or member to the Government competent organizations as permitted by law.

The service user and/or member agree and acknowledge that such consent shall be at all time effective although the cancellation is made.

12. Copyrights

The website would like to notify the service user and/or member to know that all the statements, photos and pictures, voice, contents, trademarks, service marks, names, trade name, representation method and any compositions as appeared on the website are the lawful and exclusive property of JobThai and have been protected by intellectual property law of Thailand.

In case the above intellectual properties as mentioned above are duplicated, forged, reproduced, modified, propagated to the public, sold, possessed for rent by any persons or acting anything in the manner of seeking for trade benefit or unlawful interest from the above intellectual properties without consent from the website, whatsoever the case, the website shall proceed to take the legal action against the infringers immediately.
